END-USER LICENSE AGREEMENT (EULA) FOR RAPID TRIVIA SERVICE

This End-User License Agreement (“EULA”) is a legal agreement between you (“End User” or “You”) and Pub Entertainment with Smile Limited (“Company”), governing your use of the Rapid Trivia Service (“Service”). By accessing or using the Service, you agree to be bound by the terms of this EULA. If you do not agree to these terms, do not use the Service.

  1. LICENSE GRANT
    Subject to the terms of this EULA, Pub Entertainment with Smile Limited grants you a non-exclusive, non-transferable, limited license to access and use the Rapid Trivia Service, a Software-as-a-Service (SaaS) platform, to create, manage, and present trivia quizzes for your events (e.g., in restaurants, bars, or other venues).

The license you receive depends on the type of subscription purchased:

  • Monthly License: Permits use of the Service in one (1) physical venue only. It is strictly prohibited to use a single Monthly License in multiple venues simultaneously or otherwise. Each additional venue requires a separate license.

  • Event Package License: Permits use of the Service in multiple venues, subject to any usage limits or terms specified at the time of purchase.

Authorized personnel (employees or contractors of the licensed venue) may operate the Service solely on behalf of that venue. The license remains tied exclusively to the venue.

You may use the Service only for lawful purposes and in accordance with this EULA.

  1. USER OBLIGATIONS
    By using the Service, you agree to:

  • Compliance: Follow all applicable laws, regulations, and the terms of this EULA.

  • Account Security: Maintain confidentiality of your login credentials and accept responsibility for all activities under your account.

  • Content Responsibility: Ensure that any content you upload or create via the Service does not infringe intellectual property or violate any laws or third-party rights. You are solely responsible for the legality and appropriateness of your content.

  1. INTELLECTUAL PROPERTY
    Pub Entertainment with Smile Limited retains all rights, title, and interest in and to the Service and its related intellectual property. You retain rights to content you create but grant the Company a worldwide, non-exclusive, royalty-free license to use, distribute, and display that content for Service operation and improvement.

  2. USE RESTRICTIONS
    You may not:

  • Copy, modify, distribute, sell, or lease any part of the Service.

  • Reverse engineer or attempt to extract source code.

  • Use the Service to infringe upon others’ rights or for illegal, offensive, or harmful purposes.

  • Resell, sublicense, or commercially redistribute the Service without written permission.

  1. TERM AND TERMINATION
    This EULA remains in effect until terminated by either party. The Company may suspend or terminate your access immediately if:

  • You breach this EULA, including using a Monthly License in multiple venues.

  • You fail to pay fees due.

  • You engage in illegal or fraudulent activity.

You may terminate this EULA by ceasing all use of the Service. Upon termination, your access will be revoked and your content may be deleted.

  1. DISCLAIMER OF WARRANTIES
    The Service is provided "as is" and "as available" without warranties of any kind. The Company does not guarantee uninterrupted or error-free operation. Interruptions may occur due to events beyond our control, including internet outages, hardware or software failures, or force majeure.

The Company is not responsible for any disruptions or malfunctions caused by your local internet connection, computer system, browser, or other hardware or software used to access the Service. It is your responsibility to ensure suitable and functioning infrastructure for using the Service.

  1. LIMITATION OF LIABILITY
    To the fullest extent permitted by law, the Company is not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, or goodwill, arising from:

  • Your use or inability to use the Service.

  • Unauthorized access to your account.

  • Failures or interruptions including software, hardware, or connectivity issues.

  1. INDEMNIFICATION
    You agree to indemnify and hold harmless Pub Entertainment with Smile Limited and its affiliates from any claims, damages, or expenses arising from your use of the Service, your content, or your breach of this EULA.

  2. DATA PRIVACY
    By using the Service, you consent to our collection and use of data as outlined in our Privacy Policy. While we take reasonable steps to secure your data, we do not guarantee absolute protection.

You also acknowledge and agree that the Company may collect data from players who join trivia games through the Service, including but not limited to name, team name, phone number, email address, and quiz participation details. This information is considered proprietary to Pub Entertainment with Smile Limited and may be used to operate, support, and improve the Service, as well as for direct communication and marketing purposes in accordance with applicable data protection laws.

  1. SERVICE MODIFICATIONS
    The Company may modify or discontinue the Service or features at any time without liability. Advance notice will be provided where feasible.

  2. PAYMENTS, REFUNDS, AND CANCELLATION

  • Subscription Fees: Certain features require a paid subscription. You agree to pay in advance according to your selected plan.

  • Billing: You authorize recurring charges to your selected payment method.

  • Refunds: Generally non-refundable, except in the case of verified technical issues. Refund requests must be submitted within 30 days.

  • Cancellation: You may cancel at any time. Access remains until the end of the billing cycle. No refunds for unused time.

  • Fee Changes: Subscription fees may change. Notice will be provided in advance.

  1. GOVERNING LAW
    This EULA is governed by the laws of the United Kingdom.

  2. LANGUAGE
    This Agreement and all communications shall be conducted in English.
